Terms and Conditions

These Terms govern all architectural design services provided by Velvet Stone Architects.
Acceptance of these Terms is confirmed when the client commissions our services.

The scope of services provided by Velvet Stone Architects is strictly as specified in the signed agreement.
Any additional services or variations from the original scope must be agreed upon in writing.

Velvet Stone Architects commits to designing according to the client’s specifications and within the bounds of applicable standards, laws, and building codes. Our designs aim to balance client vision with professional integrity and regulatory compliance.
The client is responsible for the final verification of the designs against all local, state, and federal regulations to ensure compliance, particularly concerning safety and building standards. The client must also manage the acquisition of all necessary permits and approvals for construction.

Detailed payment terms, including fee structures, invoicing schedules, and acceptable payment methods, will be stipulated in the client agreement. Clients are expected to adhere to these terms to facilitate a smooth workflow and project delivery.
Late payments may incur interest or result in a halt of services. Specific penalties for late payments will be outlined in the client agreement.

Velvet Stone Architects retains ownership of all designs, drawings, and documents produced until full payment is received. Upon full settlement of fees, the client is granted a non-exclusive license to use the designs for the specific project only.
Any unauthorized use of the designs without full payment or beyond the scope of the project as defined in the agreement will be considered a breach of contract.

The client is required to provide all necessary information, feedback, and approvals in a timely manner as stipulated in the agreement to enable Velvet Stone Architects to deliver services effectively.
Ensuring that the project site complies with safety regulations and securing access for site visits and inspections as required by Velvet Stone Architects are key client responsibilities.

Scope of Liability: Velvet Stone Architects' liability for any damages arising from or related to the agreement shall be limited to the total fees paid by the client for the services rendered.
Damages Cap: This limitation applies to all claims, including without limitation, breach of contract, breach of warranty, negligence, strict liability, misrepresentations, and other torts.
Justification: This limitation reflects the risks that Velvet Stone Architects is willing to assume for the specified compensation, and it protects the firm from exposure to claims that exceed the value of the services provided.

Either party may terminate the contract under conditions such as breach of terms, insolvency, or mutual agreement. Specific terms regarding notice periods, obligations post-termination, and settlement of accounts will be included in the client agreement.

In the event of disputes, both parties agree to seek resolution through mediation or binding arbitration prior to pursuing litigation. The preferred method of dispute resolution and the governing law will be clearly defined in the client agreement.

Velvet Stone Architects reserves the right to use images of the project and associated designs in promotional materials, provided such usage respects client confidentiality and does not disclose sensitive information without consent.
